CREDIT UNION MATCH APP
Terms and Conditions
These Terms and Conditions (“Terms”) govern your use of the Credit Union Match App (the “App”). This App is made available as a collaborative effort between the Urban League of Portland and Unitus Community Credit Union (“Unitus”). By downloading or using the App, you agree to these Terms. You may only use this App if you are over 18 years old, and by downloading or using the App, you represent that you are over 18 years old.
About the App
The App collects information about you including (but not limited to) name, address, email address, preferred contact method. In addition, the app collects your responses to certain limited questions about your financial circumstances. (These questions do not include amounts of your income, assets, or obligations.) Based on the information you provide, the App will suggest one or more credit unions that may offer financial services you need that you may be eligible to join. The App will provide a link to the matching credit union website(s). In addition, the App will forward your contact information and contact preference to the matching credit union, which may contact you about its products and services.
No Endorsement
Information about matching Credit Unions is provided for your convenience. Neither Unitus nor the Urban League of Portland endorse any particular credit union or make any representation as to the value or benefit of products and services made available by any credit union. You are responsible for making whatever investigation you deem necessary or appropriate before joining any credit union, opening an account, or using any product or service offered by any credit union.
Use of the App
As a condition of your use of the App, you agree that:
- You are 18 years or older;
- You will not attempt to use the App with crawlers, robots, data mining, or extraction tools or any other functionality; and
- Your use of the App will at all times comply with these Terms of Use;
Unitus retains the right, in its sole discretion, to deny service or use of the App to anyone at any time and for any reason. While Unitus uses reasonable efforts to keep the App accessible, the App may be unavailable from time to time. You understand and agree that there may be interruptions in App access, due to circumstances both within our control and outside of our control. Unitus does not warrant that the App or content available via the App will be uninterrupted or error free, that defects will be corrected, or that the App or the server that makes the App available are free of viruses or bugs.
Privacy
The information you provide on the App will be provided to one or more credit unions as described above. The information may also be shared with the Urban League of Portland. The information may also be shared with service providers such as data processors who assist in making the App available.
Intellectual Property
You agree that all of Unitus’s and any other credit union’s trademarks, trade names, service marks, and other logos and brand features that are displayed via the App (collectively, the “Marks“) are the property of Unitus or the other credit union. You agree not to display or use the Marks in any manner without Unitus’s prior permission.
All right, title and interest in the App, including technology and trade secrets embodied therein, all content and materials included as part of the App, such as text, graphics, logos, button icons, images, audio clips, information, data, forms, photographs, graphs, videos, typefaces, graphics, music, sounds, and other material, and software and any custom developments created or provided in connection with the App, including all copyrights, patents, trade secrets, and other proprietary rights, and any derivative works thereof (the “Works”), shall belong solely and exclusively to Unitus or its licensors, and you shall have no rights whatsoever in any of the foregoing. Any use other than as contemplated herein, including the reproduction, modification, distribution, transmission, adaptations, translation, republication, display, or performance, of the Works is strictly prohibited. You understand and acknowledge that unauthorized disclosure, use or copying of the proprietary products and services provided pursuant to these Terms may cause Unitus and its licensors, irreparable injury, which may not be remedied at law, and you agree that Unitus and its licensors’ remedies for breach of these Terms may be in equity by way of injunctive or other equitable relief.
Disclaimer of Warranty
The App is provided on an “AS IS” AND “AS AVAILABLE” BASIS. YOU EXPRESSLY AGREE THAT YOUR USE OF THE APP IS AT YOUR SOLE RISK. UNITUS MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION AS TO THE OPERATION OF THE APP OR THE INFORMATION, CONTENT, OR MERCHANT OFFERS AVAILABLE VIA THE APP. UNITUS DOES NOT WARRANT THAT USE OF THE APP WILL BE UNINTERRUPTED, SECURE, VIRUS-FREE, OR ERROR FREE, NOR DOES UNITUS MAKE ANY WARRANTY AS TO (A) THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE APP, OR (B) THE ACCURACY, COMPLETENESS, OR RELIABILITY OF MERCHANT OFFERS.
TO THE FULL EXTENT PERMISSIBLE BY APPLICABLE LAW, UNITUS HEREBY DISCLAIMS ANY AND ALL REPRESENTATIONS, WARRANTIES, AND CONDITIONS, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THOSE OF TITLE, NON-INFRINGEMENT, NON-INTERFERENCE, MERCHANTABILITY, SUITABILITY, AND FITNESS FOR A PARTICULAR PURPOSE, AS WELL AS WARRANTIES IMPLIED FROM A COURSE OF PERFORMANCE OR COURSE OF DEALING.
YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH MERCHANTS. YOU HEREBY HOLD HARMLESS UNITUS FROM ANY AND ALL CLAIMS OR LIABILITY RELATED TO ANY MERCHANT OFFER, PRODUCT OR SERVICE OF A MERCHANT, ANY ACTION OR INACTION BY MERCHANT, INCLUDING MERCHANT’S FAILURE TO COMPLY WITH APPLICABLE LAW.
Limitation of Liability
IN NO EVENT SHALL UNITUS, ITS OFFICERS, DIRECTORS, EMPLOYEES OR AGENTS, BE LIABLE FOR ANY DAMAGES (WHETHER CONSEQUENTIAL, DIRECT, INCIDENTAL, INDIRECT, PUNITIVE, SPECIAL OR OTHERWISE) ARISING OUT OF, OR IN ANY WAY CONNECTED WITH, A MERCHANT OFFER, ANY MERCHANT PRODUCTS OR SERVICES, AND ANY OTHER ACTS OR OMISSIONS OF A MERCHANT REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON CONTRACT, STRICT LIABILITY, TORT OR OTHER THEORIES OF LIABILITY, AND ALSO REGARDLESS OF WHETHER UNITUS WAS GIVEN ACTUAL OR CONSTRUCTIVE NOTICE THAT DAMAGES WERE POSSIBLE.
IN NO EVENT SHALL UNITUS, ITS OFFICERS, DIRECTORS, EMPLOYEES OR AGENTS, BE LIABLE FOR ANY DIRECT OR INDIRECT LOST PROFITS OR LOST BUSINESS DAMAGES, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF, RELATED TO, OR IN CONNECTION WITH ANY OF THE FOLLOWING: (A) YOUR USE OF THE APP, THE CONTENT, AND ANY OTHER INFORMATION CONTAINED IN THE APP; (B) YOUR INABILITY TO USE THE APP; (C) MODIFICATION OR REMOVAL OF CONTENT ON THE APP; OR (D) THESE TERMS AND CONDITIONS, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON CONTRACT, STRICT LIABILITY, TORT OR OTHER THEORIES OF LIABILITY, AND ALSO REGARDLESS OF WHETHER UNITUS WAS GIVEN ACTUAL OR CONSTRUCTIVE NOTICE THAT DAMAGES WERE POSSIBLE.
Indemnification/Release
You hereby agree to defend, indemnify, and hold harmless Unitus, its directors, officers, employees and agents from and against all claims and expenses, including, without limitation, attorneys’ fees, arising out of, related to, or in connection with any use of the App in violation of these Terms, or fraud you commit or your intentional misconduct or negligence.
You further agree to hold harmless Unitus, its directors, officers, employees and agents from and against all claims and expenses, including, without limitation, attorneys’ fees, arising out of, related to, or in connection with any product or service of a Merchant, regardless of whether such product or service is a Merchant Offer available through the App, any action or inaction by a Merchant, including, without limitation, but not limited to any harm caused to you by action or inaction of a Merchant, a Merchant’s failure to comply with applicable law and/or failure to abide by the terms of a Merchant Offering or any other product or service purchased or obtained by you from the Merchant, and any conduct, speech or content, whether online or offline, of any other third-party.
Change in Terms
We may change these Terms at any time by providing notice to you.
Consent
By downloading or using the App, you agree to receive these terms electronically and acknowledge that you have read and agree to be bound by these terms. Your acceptance will be considered binding as if you provided a manual signature.
